Adam M. Cohen is the Chair of the ABA Tax Section’s Young Lawyer Forum and a Partner with Holland & Hart LLP in Denver, Co, where his practice emphasizes on the tax aspects of structuring the formation, acquisition, disposition, operation, and liquidation of businesses, including bankruptcy restructurings, of all sizes in a variety of industries, including manufacturing, health care, retailing, advanced technology, oil and gas, mining, finance, and real estate. He provides advice on renewable energy and low-income housing tax credit projects and has been integrally involved in structuring billion dollar transactions. Mr. Cohen''s practice also includes providing advice regarding reportable transactions and to a number of funds focused on investing in various sectors of the economy, including hedge funds, venture capital funds and real estate funds. Mr. Cohen''s practice has also involved direct negotiations with the IRS in connection with tax controversies and the attainment of tax-exempt status for community foundations and charitable entities.
Eric B. Sloan is the Managing Principal of the Passthroughs group in the National Tax Office of Deloitte Tax LLP. Eric specializes in the use of partnerships and limited liability companies in domestic and cross-border mergers and acquisitions, financing transactions, and restructurings. Eric represents a wide array of clients, including Kohlberg Kravis Roberts & Co., Koch Industries, Inc., Georgia-Pacific LLC, Hellman & Friedman LLC, Lazard Ltd., Lennar Corporation, and Cargill, Incorporated. Eric has authored articles that have appeared in numerous professional publications, including Tax Notes, Journal of Taxation, The Tax Executive, TAXES, Major Tax Planning (The Law School of the University of Southern California), Journal of Passthrough Entities, Tax Management Memorandum, and Tax Planning for Domestic & Foreign Partnerships, LLCs, Joint Ventures, & Other Strategic Alliances (Practising Law Institute). Eric is an adjunct professor at the Georgetown University Law Center and is a frequent lecturer on a variety of topics dealing with U.S. federal income taxation, having spoken at many of the country’s leading tax conferences, including the Practising Law Institute, the University of Chicago Law School’s Federal Tax Conference, the Texas Federal Tax Institute, the Southern Federal Tax Institute, the USC Gould School of Law Tax Institute, the New York University’s Institute on Federal Taxation and Summer Institute on Federal Taxation, the American Bar Association Tax Section, and the Tax Executives Institute, as well as at the Wharton School of Business.
Eric received his B.A., with honors in English Literature, from Northwestern University, his J.D. from the University of Chicago Law School, and his LL.M. in taxation, with distinction, from the Georgetown University Law Center. Eric is a member of the Tax Section of the American Bar Association, a member and Immediate Past Chair of the Tax Section’s Committee on Partnerships and LLCs, and a member of the Tax Section’s Nominating Committee. He is also a member of the planning committee for the University of Chicago Law School’s Annual Federal Tax Conference, as well as a member of the advisory board of NYU Institute on Federal Taxation. Eric is admitted to practice law in California, Illinois, and the District of Columbia.
Stanley E. Ramsay is a partner in the Tax department of Weil, Gotshal & Manges. Mr. Ramsay has significant experience in the structuring and documentation of private equity and merger and acquisition transactions. He regularly advises clients on the formation and operation of private equity funds and investment vehicles, partnerships, joint ventures and limited liability companies.
Mr. Ramsay’s practice is focused on representing private equity sponsors, investment banks, and institutional investors. He has advised clients on the formation and structuring of private equity funds ranging in size from $250 million to more than $4 billion.
Mr. Ramsay is a frequent speaker at bar association and industry panels on tax topics relating to partnerships and private equity funds. Mr. Ramsay is the chair of the Private Equity Subcommittee of the Partnerships Committee of the Tax Section of the American Bar Association.
